The Migration Process
- Outgoing Jurisdiction : Adequate preparation of documentation, including financial reports (if required), certificate of good standing, and certificate of incumbency. The outgoing company should not be involved in any current legal processes.
- Incoming Jurisdiction : In the UAE, an overseas company can continue its operations if the legal framework of the jurisdiction allows it. The company must provide necessary documents such as reports, licenses, confirmations, certifications, amendments to memorandum, and resolutions. The local authorities issue a provisional “Certificate of Continuation,” allowing the company to continue operations. After obtaining the provisional certificate, the company has three months to submit the document certifying that it is not subject to the laws of the previous jurisdiction. The final certificate of continuation is then issued in the UAE.
